Backup Servicers for GPU Loans
A backup servicer is a firm named in a financing that takes over collecting and administering the loans if the primary servicer fails. In asset-backed securities (ABS), backups come cold, warm or hot, by how fast they can take over.
A GPU loan needs more than that. The party that keeps a GPU loan paying is the operator running the cluster, so its backup has to keep the GPUs serving the offtaker as well as collect payments. CoreWeave's $3.1 billion DDTL V credit agreement of May 2026 names neither a backup servicer nor a backup operator. What a backup servicer does
A securitization depends on someone collecting payments and reporting them every month. Rating agencies treat the loss of that party as a risk of its own. Fitch put it plainly in 2010: if servicer risk is significant, the rating may be capped or the issuer can add a backup servicer. Carvana's 2021-N1 auto ABS shows the mechanics of a typical backup servicing agreement:
- Triggers. The servicer can be terminated for failing to deposit collections within 5 business days, for a material breach uncured for 60 days, or for insolvency. - Standby work. Until a transfer, the backup reviews and recalculates the receivables data in the monthly servicer report.
- Takeover. The backup assumes servicing within 30 days of a transfer notice.
- Fees. $2,750 per monthly distribution date on standby, then a one-time transfer fee of up to $150,000 plus the servicing fee. Hot, warm and cold backup servicers
The three tiers are market usage, and deal documents often do not say which one they bought. Academy Securities reads Carvana 2021-N1 as warm and Tricolor's 2025-2 deal, whose backup received pool data and a flat $3,000 a month, as cold. What happened when servicers failed
Tricolor: the backup arrived, the collateral did not
Tricolor, a subprime auto lender, filed for Chapter 7 on September 10, 2025. The bankruptcy court authorized its backup servicer, Vervent, to act as successor servicer on September 19. Sunnova: servicing moved by sale
Sunnova, a residential solar company, filed in June 2025 with about $5.5 billion of ABS outstanding across 26 series. Servicing moved to SunStrong through a court-approved sale, which required amending more than 150 deal documents. After the November 2025 handover, annualized losses on the solar loan deals rose from 4.6% to 11.7% in one month. About 60% of the jump came from a one-time change in how the new servicer aged delinquent accounts, and KBRA put 28 ratings on watch. TGI Fridays: a backup manager ran the business
The closest precedent for a GPU backup operator comes from whole-business securitization, where the "servicer" runs a company. On September 3, 2024, the control party in TGI Fridays' securitization declared a manager termination event, and the back-up manager, FTI Consulting, became successor manager. TGI Fridays filed for Chapter 11 two months later. The trigger was a missing agreed-upon-procedures report. A backup that can run the business let noteholders act before the borrower filed.
Why GPU loans need a backup operator
A GPU loan is repaid from what the offtaker pays for compute. That revenue continues only while the cluster meets its service levels, so continuity means running the hardware. The backup that matters is a backup operator.
Solar finance wrote this down years ago. A 2017 Sunrun credit facility makes the back-up servicer the successor operator on a termination, targets a transfer within 30 days, requires the backup to visit the operator at least once every 24 months, and makes a transition that takes longer than 30 days an event of default. Most GPU borrowers are young operators with one site and one customer. They are closer to TGI Fridays than to a large aircraft lessor. What lenders monitor on GPU collateral
GPU collateral is unusually easy to monitor because the hardware reports on itself.
- Serial numbers. nvidia-smi reports each GPU's serial, which "matches the serial number physically printed on each board," plus a globally unique ID. Bank examiners expect a similar cadence for other collateral. What the backup needs before default
Vervent had to advance more than $5 million of its own money to get Tricolor's unpaid vendors working again. - Credentials in escrow. Management controller, network, orchestration and customer-portal access, tested each quarter.
- A colocation access agreement naming the backup. The provider has cleared the backup's staff and accepted it as a step-in party.
- Offtaker consent to an operator change. The offtake contract lets the lender appoint a replacement operator without triggering termination.
- Transferable support and licenses. OEM warranties, NVIDIA support entitlements and software licenses assignable to the lender or its designee.
- Runbooks and spares. Network diagrams, customer service levels, the spares inventory and the repair queue.
- A funded transition. A reserve or lender commitment to pay power and staff through the first 60 days.
